Service & Agreement
These terms govern your use of the Quick Phaze website and software. They set out what we provide, what you agree to, what happens to your data, and the rights you keep throughout.
Last updated · August 26, 2026
1. Acceptance
By creating an account, accessing the demo workspace, or otherwise using the Quick Phaze website or any Quick Phaze solution, including Quick Phaze Divide (together, the "Service"), you agree to this Service & Agreement. If you are agreeing on behalf of a company, you confirm you have the authority to bind that company, and "you" means that company.
If you do not agree to these terms, do not use the Service.
2. The service
Quick Phaze is a solutions company. Each solution is licensed separately. Quick Phaze Divide, our client and project operations solution, tracks client and contact names, project due dates, total costs, assigned workers, associated files, task lists, and per-person notifications about upcoming or blocking work.
Where these terms refer to a plan or a subscription, they mean the plan you hold for a specific solution. Adding a further Quick Phaze solution later does not change the terms of the one you already hold.
We may add, change or remove features over time. Where a change materially reduces functionality you rely on, we will give at least thirty days' notice before it takes effect.
3. Accounts & access
You are responsible for the accuracy of your account information, for the security of your credentials, and for the activity of every user you invite to your workspace. Tell us promptly if you believe an account has been compromised.
Workspace owners control roles and permissions, including who can see cost and billing figures. You must not share a single login between individuals.
4. Acceptable use
You agree not to:
- use the Service to store or transmit unlawful, infringing or malicious content;
- attempt to gain unauthorised access to the Service, other workspaces, or the infrastructure that supports them;
- reverse engineer, resell or sublicense the Service except as permitted in writing;
- interfere with the operation of the Service, including by placing an unreasonable load on it; or
- upload personal data of a category you are not lawfully permitted to process.
We may suspend access where use presents a security risk or a risk of harm to others, and will restore it as soon as the issue is resolved.
5. Data & ownership
Your content stays yours. Client records, project details, files, task lists and everything else you put into the Service remain your property. We claim no ownership over them.
You grant us a limited licence to host, process, transmit and display that content strictly for the purpose of operating the Service for you, and for no other purpose. We do not sell your content, and we do not use it to train models or to build advertising profiles.
We retain ownership of the Service itself — the software, interface and underlying systems — and of anonymised, aggregated statistics that cannot identify you or your clients.
6. Privacy
We collect the information needed to run your account: names and contact details of your users, billing information, and technical logs. We use processors for hosting, payment handling and email delivery, each bound by written terms.
Personal data is retained for as long as your account is active and for a limited period afterwards as described in section 12. Where the law gives you rights over your personal data — access, correction, deletion, portability, objection — we honour them within the statutory time limits.
7. Billing terms
Fees and cycles
Divide plans are billed monthly in advance at the rate shown on the pricing page: Quick Dash $20, Quick Pro $50, Quick Established $80, Quick High $95 and Quick Enterprise $199 per month. Fees are exclusive of taxes, which are added where applicable.
Plan limits
Each plan carries a client limit and an employee limit. Every feature is included on every plan — we do not withhold functionality to sell a higher tier. If you reach a limit we will tell you rather than cutting off access.
Upgrading and downgrading
Upgrading takes effect immediately and is charged pro rata for the remainder of the current month; your company code, data and sign-ins are unaffected. Downgrading takes effect at the end of the current billing cycle, and only where your client and employee counts fit within the smaller plan.
Price changes
We will give at least sixty days' notice before any price increase takes effect, and it will not apply to a term you have already paid for.
Late or failed payment
If payment fails we will retry and notify you. Accounts more than thirty days past due may be suspended; data is retained through the period described in section 12.
Refunds
Annual plans may be cancelled within thirty days of the initial purchase for a full refund. Beyond that, fees already paid are non-refundable except where the law requires otherwise.
8. Availability & support
We aim for 99.9% monthly availability, excluding scheduled maintenance announced at least forty-eight hours in advance. Support is available on working days, with a target first response of one working day.
Backups are taken daily and retained for thirty days. Backups protect against our failures; they are not a substitute for your own export routine.
9. Your rights
Throughout your use of the Service you have the right to:
- Export your data at any time, in a structured, machine-readable format, without asking us first and without charge;
- Know where your data is held and which processors have access to it, on request;
- Be told about a security incident affecting your data without undue delay, and in any event within seventy-two hours of us confirming it;
- Cancel at any time, with no exit fee and no requirement to speak to anyone first;
- Receive notice of material changes to these terms, to pricing, or to functionality you depend on, before they take effect; and
- Have your personal data corrected or deleted where the law provides that right.
10. Warranties & disclaimers
We warrant that we will provide the Service with reasonable skill and care and in accordance with the description in section 2.
Beyond that warranty, and to the fullest extent permitted by law, the Service is provided "as is". Notifications and next-action suggestions are decision support based on the data in your workspace; they do not replace your own professional judgement, and we do not warrant that the Service will be uninterrupted or error free.
11. Limitation of liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.
Subject to that, neither party is liable for indirect or consequential loss, and each party's total liability arising out of these terms is limited to the fees paid or payable by you in the twelve months before the claim arose.
12. Termination
You may cancel at any time from your account settings; cancellation takes effect at the end of the current billing cycle. We may terminate for material breach that remains uncured thirty days after written notice.
After termination your workspace is available in a read-and-export state for thirty days. It is then deleted from active systems, and purged from backups within a further thirty days.
13. Changes to these terms
We may update these terms. For material changes we will give at least thirty days' notice by email and in the product. Continuing to use the Service after a change takes effect means you accept the updated terms; if you do not, you may cancel before that date and receive a pro rata refund of any prepaid fees.
14. Governing law
These terms are governed by the laws of the State of Texas, United States, without regard to conflict of law rules. The courts of Travis County, Texas have exclusive jurisdiction, except that either party may seek injunctive relief in any competent court.
If any provision is found unenforceable, the remainder stays in force.
